Heat Geek Referral & Affiliate Programme
Terms & Conditions

These Terms & Conditions (“Agreement”) govern participation in the Heat Geek Referral & Affiliate Programme (“Programme”) operated by Heat Geek Limited (“Heat Geek”, “we”, “us”, “our”).
By registering as a referrer or affiliate and/or sharing a referral link or code, you agree to be bound by this Agreement.

1. Definitions
Affiliate / Referrer means any individual or entity approved to participate in the Programme. Referral Link means the unique tracking link issued to an Affiliate via Rewardful.
Referral Code means a unique promotional code issued to an Affiliate for sharing.
Qualified Referral means a new customer who:
1. Has not previously entered into a contract with Heat Geek,
2. Is not already in active discussion with Heat Geek at the time of referral,
3. Uses a valid Referral Link or Referral Code,
4. Pays a deposit for a Heat Geek installation, and
5. Does not cancel or receive a refund within the statutory cooling-off period.
Commission / Reward means the payment or benefit due to the Affiliate for a Qualified Referral.

2. Eligibility
2.1 You must be at least 18 years old.
2.2 If acting on behalf of a company, you confirm you are authorised to bind that company.
2.3 Heat Geek reserves the right to approve or reject any application at its sole discretion.

3. Programme Structure
The Programme may include:
• Affiliate Programme (commission-based)
• Customer Referral Programme (one or two-sided reward structure)
Heat Geek reserves the right to operate one or more structures simultaneously.

4. Commission & Reward Structure
4.1 Commission is payable only for a Qualified Referral.
4.2 Commission becomes payable when:
• The referred customer pays a deposit; and
• The statutory cooling-off period has expired; and
• The installation has not been cancelled.
4.3 Commission amounts will be as notified to you in writing or displayed in your affiliate dashboard.
4.4 Commission may be:
• A fixed monetary amount, or
• A voucher or non-cash reward (at Heat Geek’s discretion).
4.5 Commission is not payable for:
• Self-referrals;
• Referrals within the same household;
• Referrals between companies under common ownership;
• Existing leads already recorded in Heat Geek’s CRM;
• Cancelled or refunded installations.
4.6 Heat Geek reserves the right to amend commission rates on 30 days’ notice.

5. Payment Terms
5.1 Commission will be paid no earlier than 30 days after deposit payment.
5.2 Heat Geek may withhold payment pending fraud checks, verification, or dispute resolution.
5.3 Affiliates are responsible for any tax liability arising from Commission received.
5.4 Where applicable, VAT invoices must be provided prior to payment.
5.5 Heat Geek may offset any overpaid Commission against future payments.

6. Tracking & Attribution
6.1 Tracking is conducted via Rewardful and Stripe.
6.2 Heat Geek is not liable for:
• Tracking failures,
• Cookie blocking,
• Incorrect link usage,
• Manual sales not using referral links or codes.
6.3 The decision of Heat Geek regarding attribution of a Qualified Referral is final.

7. Prohibited Conduct
Affiliates must not:
• Engage in self-referrals;
• Use misleading, false or deceptive advertising;
• Bid on “Heat Geek” branded search terms in paid advertising without written permission;
• Use spam, unsolicited email, or automated messaging;
• Impersonate Heat Geek;
• Suggest endorsement or partnership beyond referral participation;
• Use fraudulent, abusive, or manipulative tactics.
Heat Geek reserves the right to terminate participation and withhold Commission in cases of suspected abuse or fraud.

8. Compliance With Law
8.1 Affiliates must comply with all applicable UK laws, including:
• UK GDPR
• Data Protection Act 2018
• CAP Code (UK Advertising Standards)
• CMA guidance on endorsements and influencer marketing
8.2 Affiliates must clearly disclose their commercial relationship with Heat Geek where promoting services.

9. Intellectual Property
9.1 Heat Geek grants Affiliates a limited, revocable, non-exclusive licence to use approved promotional materials.
9.2 Affiliates may not:
• Modify Heat Geek branding without consent,
• Register domains resembling Heat Geek,
• Use Heat Geek trademarks in paid search without approval.

10. Independent Contractor Status
Affiliates act as independent contractors. Nothing in this Agreement creates:
• Partnership
• Agency
• Employment relationship
• Joint venture

11. Termination
11.1 Either party may terminate this Agreement at any time.
11.2 Heat Geek may terminate immediately for:
• Breach of these Terms,
• Fraud or abuse,
• Reputational risk,
• Regulatory risk.
11.3 Upon termination:
• Valid unpaid Commission may be paid at Heat Geek’s discretion.
• Fraudulent or suspect Commission will be forfeited.

12. Limitation of Liability
12.1 Heat Geek shall not be liable for indirect, incidental, or consequential loss.
12.2 Heat Geek’s total liability under this Agreement shall not exceed the total Commission paid to the Affiliate in the preceding 6 months.

13. Data Protection
13.1 Each party shall comply with applicable UK data protection laws.
13.2 Affiliates shall not collect or process personal data on behalf of Heat Geek without lawful basis.
13.3 Referral tracking is conducted via cookies and Stripe payment metadata.

14. Changes to the Programme
Heat Geek may amend these Terms or the Programme structure upon 30 days’ notice.
Continued participation constitutes acceptance of updated terms.

15. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction.

16. Entire Agreement
This Agreement constitutes the entire agreement between the parties in relation to the Programme and supersedes any prior understandings.
